Transocean’s $5.8bn takeover of offshore driller Valaris has cleared a key regulatory hurdle in the US, and the companies now expect to complete the transaction in the final quarter of the year.

Valaris and Transocean have been notified by the Antitrust Division of the US Department of Justice that it has closed its investigation into the proposed business combination under the Hart-Scott-Rodino Antitrust Improvements Act.

The clearance removes one of the main regulatory conditions hanging over the all-stock combination. The DOJ had stepped up its review of the transaction in May by issuing both companies with requests for additional information and documentary materials.

Transocean and Valaris now expect the deal to close in the fourth quarter of 2026, subject to satisfying or waiving the remaining closing conditions.

Under the agreement signed in early February, Switzerland-based Transocean will acquire all outstanding Valaris shares, and Valaris shareholders will receive 15.235 Transocean shares for each share they hold.

The deal will leave Transocean shareholders with approximately 53% of the enlarged company on a fully diluted basis, while Valaris shareholders will own about 47%.

The combination will create an offshore drilling contractor with an enterprise value of approximately $17bn and one of the largest rig fleets in the sector.

The combined fleet was put at 73 rigs when the transaction was announced, comprising 33 ultra-deepwater drillships, nine semisubs, and 31 jackups.

Transocean’s senior leadership is expected to remain in place following completion, with Keelan Adamson continuing as chief executive. The enlarged company will remain incorporated in Switzerland, with Houston serving as its main administrative base.

The transaction is one of the largest offshore drilling combinations in recent years, following a consolidation wave that has included Noble’s acquisitions of Pacific Drilling, Maersk Drilling, and Diamond Offshore.
