<p>WhiteHawk Minerals Corp said Friday it had completed acquisitions worth a total of $111.8 million, including mineral and royalty natural gas assets in the Haynesville shale and the Appalachian Basin's Marcellus and Utica formations from San Jacinto Minerals (SJM) 2.</p> <p>"The Acquisitions, including SJM 2's Appalachia and Haynesville assets, cover approximately 700,000 gross unit acres and 11,810 net royalty acres (normalized to 1/8th) at an average net revenue interest of 0.21 percent, including more than 1,700 producing wells, 245 wells in process and permits, and 2,500 undeveloped locations", Philadelphia, Pennsylvania-based WhiteHawk said in a press release.</p> <p>"The Appalachia interests span approximately 600,000 gross unit acres anchored by EQT Corp, Range Resources Corp, CNX Resources Corp and Antero Resources Corp, and the Haynesville interests span approximately 100,000 gross unit acres anchored by Expand Energy Corp, Apex Energy LLC and Adamas Energy LLC".</p> <p>WhiteHawk, a gas-focused mineral and royalty company with assets in the Appalachian and Haynesville shales, expects to derive about 16 million cubic feet equivalent per day (MMcfed) of production in 2027 and 17 MMcfed in 2028 from the new assets, according to the company's initial announcement of the agreements in its quarterly statement August 12.
</p> <p>WhiteHawk funded the acquisitions through a $75 million private placement and a $50 million preferred stock offering.</p> <p>"In connection with the closing of the acquisitions, the company also completed its fall redetermination of its reserve-based revolving credit facility with an increase to $175 million in borrowing capacity, which remains fully undrawn", it said Friday.</p> <p>The acquisitions are WhiteHawk's first since its initial public offering last June.
It expects the new assets "to add in aggregate approximately $17 million and $18.5 million of incremental cash flow in 2027 and 2028 respectively", WhiteHawk said in its quarterly statement.</p><div id='newsArticleDianomoAds' style='display:none'><hr style='margin:5px 0px;'><div style='color:#808080;text-align: center;'>Advertisement - Scroll to continue</div><div class='dianomi_context' data-dianomi-context-id='4460'></div></div> <p>“With the majority of the purchase price allocated to SJM 2's Marcellus and Utica assets, we are increasing our ownership in acreage where we already have an established position, significant asset-level data and a deeply informed view of underlying value dating back to our initial investment in September 2024", Matthew Heinlein, vice president and head of corporate development and strategy at WhiteHawk, said in the quarterly statement.</p> <p>"With approximately $3 billion to $5 billion of private equity-backed mineral assets across Appalachia and the Haynesville, our longstanding relationships with management teams and sponsors across these basins continue to create differentiated, proprietary acquisition opportunities and we believe our acquisition pipeline has never been stronger".</p> <p>In the second quarter WhiteHawk averaged 70 MMcfed in production, up 57 percent from the same three-month period last year.
Gas comprised 85 percent.</p> <p>Q2 2026 revenue totaled $29.1 million, including $6.7 million of unrealized hedge gains and $3.3 million of gathering, processing, transportation and lease operating expenses.
Revenue rose 38 percent from Q2 2025 on higher production and higher liquids prices, partly offset by lower gas prices.</p> <p>Adjusted earnings before interest, taxes, depreciation and amortization grew 104 percent year-on-year to $20.66 million.</p> <p>While net loss deepened to $39.21 million for Q2 2026 from $219,000 for Q2 2025, WhiteHawk said, "The net loss for the second quarter of 2026 includes several non-recurring costs associated with the company’s initial public offering and corporate reorganization that management does not consider indicative of ongoing operations, including a $21.7 million loss on extinguishment of debt in connection with the repayment of $187.4 million of senior secured notes, $15.8 million of non-recurring management and incentive fees paid in connection with the internalization of the company’s manager and a $1.7 million non-cash change in the fair value of the earnout liability".</p> <p>Current assets totaled $32.55 million including $13.23 million in cash and cash equivalents.
